1. Parties & Acceptance

These Terms govern access to and use of the RestroIQ point-of-sale software and related services (“Service”) provided by Neuvana Systems Private Limited(“Company”, “we”, “us”). By creating an account, signing an order, or using the Service, the business entity you represent (“Customer”) agrees to these Terms.

2. Services Covered

The Service includes: (a) cloud-hosted POS web application and features we make generally available; (b) optional third-party integrations (payment gateways, delivery platforms, accounting tools, etc.) subject to availability and each partner’s terms; and (c) any separately purchased hardware, if offered. We may improve or modify features over time.

3. Eligibility & Scope

The Service is for business use only (B2B) by restaurants, cafes, and similar merchants. Customer is responsible for its users’ actions in the account.

4. Account & Customer Obligations

• Provide accurate business information and keep credentials secure.
• Comply with applicable laws (tax, invoicing, F&B, data, payments).
• Do not misuse the Service (no reverse engineering, spamming, harmful code, or illegal content).
• You are solely responsible for device compatibility, internet connectivity, data entered, pricing, taxes, and your own business decisions.

5. Fees, Billing & Taxes

• Subscriptions are pre-paid (monthly or yearly) per our pricing or executed order form.
• Prices exclude taxes; Customer is responsible for applicable taxes, duties, and bank/FX charges.
• Auto-renewal: plans renew for the same term unless canceled before the renewal date (no mid-term refunds; access continues to the end of the paid term).

6. Cancellations & Refunds

• Monthly plans: no refunds. Cancellation stops only future auto-renewal; access continues until the end of the paid month.
• Yearly plans: include a one (1) month free trial. If you cancel during this trial, no payment is due. Once the trial ends and payment is processed, the yearly subscription is non-refundable.

7. Integrations & Third-Party Services

Integrations are provided “as available.” We may add, change, or discontinue integrations. Each third-party service is governed by its own terms and privacy practices; we are not responsible for their performance, availability, or acts/omissions.

8. Hardware (if offered)

Any hardware is sold separately “as available” and may carry manufacturer warranties only. Setup, installation, and maintenance are Customer’s responsibility unless otherwise agreed in writing.

9. Data & Privacy

We handle business data (e.g., menu, orders, invoices, payments, customer/contact details) per ourPrivacy Policy. Customer must obtain all necessary consents from its end customers and personnel before submitting personal data to the Service.

10. Intellectual Property

We retain all rights in the Service, software, documentation, and brand. Customer receives a limited, non-exclusive, non-transferable right to use the Service during the paid term.

11. Confidentiality

Each party shall protect the other’s non-public information with reasonable care and use it only for the purpose of the engagement.

12. Warranties & Disclaimers

The Service is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, we disclaim all warranties (express, implied, or statutory), including merchantability, fitness for a particular purpose, and non-infringement.We are not responsible for your other losses including loss from business decisions, mispricing, compliance failures, third-party outages, or internet/connectivity issues.

13. Limitation of Liability

To the maximum extent permitted by law, our total aggregate liability for all claims arising out of or related to the Service will not exceed the fees actually paid by Customer to us for the twelve (12) months immediately preceding the event giving rise to liability. We are not liable for any indirect, incidental, special, punitive, or consequential damages, including lost profits, revenue, data, or goodwill.

14. Indemnity

Customer will defend and indemnify us from claims arising out of Customer’s content, unlawful use, or violation of these Terms or applicable law.

15. Suspension & Termination

We may suspend or terminate access for non-payment, suspected fraud, security risk, or material breach. Upon termination, Customer should export data (where available) before access ends.

16. Governing Law & Jurisdiction

These Terms are governed by the laws of India. Courts at Ahmedabad, Gujarat shall have exclusive jurisdiction.

17. Changes

We may update these Terms from time to time. Material changes will be indicated by updating the “Last updated” date and, where appropriate, by reasonable notice.
